Licensor: Rachael Arnott, trading as Thistle Type, Scotland, UK
Licensee: The individual or legal entity purchasing or using the Font(s) (“you”).

This agreement sets out the terms under which you may use the font software and related digital files (“Font(s)”) supplied by Thistle Type. By purchasing, downloading, installing, or using the Font(s), you agree to these terms.

1. Licence Terms

Thistle Type grants you a non-exclusive, non-transferable, perpetual licence to use the Font(s) in accordance with the licence type purchased, for personal and commercial use subject to the conditions below. 

The standard licence types offered by Thistle Type are:

• Desktop Licence
• Website Licence
• Desktop + Website Starter Licence
• App Licence (one application title)

Other licensing arrangements may be available by agreement with Thistle Type for uses not covered by the standard licences above. Any such licence must be agreed in writing before the relevant use begins.

This licence does not transfer ownership; all intellectual property rights in the Font(s) remain with Rachael Arnott, trading as Thistle Type. 

Variable fonts are included only where a complete font family is available. Inclusion of files does not grant additional rights beyond the licence purchased.

2. Licence Types

2.1 Desktop Licence
The Desktop Licence permits installation and use of the Font(s) by the number of users specified at the time of purchase. Each licensed user may install the Font(s) on up to two devices, provided those devices are under that user’s control.

You may:

• Use the Font(s) to create printed and digital materials, including books, packaging, branding, advertising, social media graphics, presentations, and merchandise.
• Use the Font(s) in logos and trademarks (but you may not register the Font itself as a trademark).You must:
• Convert text to outlines or rasterise it before sharing files externally.
• Ensure the Font(s) are not included as live, installable files in any distributed document.

2.2 Website Licence
Permits embedding of the Font(s) using @font-face or similar technologies.

You may:

• Use the Font(s) on any websites and domains owned or controlled by the Licensee.
• Host the Font(s) on your own server or a trusted CDN.
• Use the Font(s) in marketing materials related to your website(s). This licence is based on total Monthly Unique Visitors (MUV) for that domain where the Font(s) are used. 

This licence is based on the total Monthly Unique Visitors (MUV) for the domain or domains where the Font(s) are used, according to the licence tier purchased.

Definition of Monthly Unique Visitors (MUV):
Monthly Unique Visitors refers to the total number of distinct individuals visiting your website(s) within a calendar month. Each visitor is counted once, regardless of how many times they visit during that period. Measurement should be based on standard analytics tools (e.g. Google Analytics or similar).

You must:

• Ensure the combined Monthly Unique Visitors across all domains remain within the purchased licence tier.
• Ensure the Font(s) are not directly accessible, downloadable, or extractable by end users.

This licence applies only to websites owned or controlled by the Licensee. Use across unrelated third-party platforms, distributed templates, or resold web products is not permitted.

2.3 Desktop + Website Starter Licence
The Desktop + Website Starter Licence permits one (1) licensed user to install and use the Font(s) on up to two devices, provided those devices are under that user’s control.

It also permits embedding of the Font(s) on websites owned or controlled by the Licensee, subject to a combined limit of 50,000 Monthly Unique Visitors (MUV) per calendar month across all websites using the Font(s) under this licence.

The Desktop portion of this licence permits the Licensee to use the Font(s) in accordance with Section 2.1.

The Website Starter portion permits the Licensee to embed the Font(s) using @font-face or similar technologies and to host the Font(s) on their own server or a trusted CDN.

You may:

• Use the Font(s) to create printed and digital materials, including books, packaging, branding, advertising, social media graphics, presentations, and merchandise.
• Use the Font(s) in logos and trademarks, provided the Font itself is not registered as a trademark.
• Use the Font(s) on websites owned or controlled by the Licensee.
• Use the Font(s) in marketing materials relating to those websites.

You must:

• Ensure that the total number of users does not exceed one (1).
• Ensure that the combined Monthly Unique Visitors across all websites using the Font(s) under this licence do not exceed 50,000 per calendar month.
• Ensure the Font(s) are not directly accessible, downloadable, or extractable by end users.
• Ensure the Font(s) are not included as live, installable font files in any distributed document.

This licence applies only to websites owned or controlled by the Licensee. It does not permit use across unrelated third-party platforms, distributed templates, or resold web products.

If the Licensee requires additional users or exceeds the 50,000 MUV limit, an appropriate licence or upgrade must be obtained from Thistle Type before continuing that use.

2.4 App Licence
The App Licence permits embedding of the Font(s) within one application title distributed to end users without limitation.

You may:

• Embed the Font(s) within a mobile or cross-platform application, including iOS and Android applications.
• Use the Font(s) in user interfaces, menus, and dynamic in-app content.
• Distribute the application through official app stores or other legitimate distribution channels.
• Use the Font(s) in updates and new versions of the same application.
• Use the Font(s) in marketing materials relating to that application.

For clarity, a single application title may include versions of the same application across multiple operating systems or platforms, provided the application remains substantially the same product.

The Font(s) must be embedded within the application and must not be provided as separate, installable, downloadable, or extractable font files.

This licence does not cover:

• SaaS platforms or cloud-based software.
• Web applications or browser-based tools.
• Desktop software.
• Video games or interactive entertainment software.
• Multi-user systems or platforms where users can create, customise, or generate content using the Font(s).

If you wish to use the Font(s) in more than one separate application title, you must contact Thistle Type to obtain an appropriate licence.

3. Client Work

If you are a designer, agency, or consultant, you may use the Font(s) to create work for clients. The licence remains with you. If your client requires the Font(s) for their own use, they must purchase the appropriate licence.

4. Licence Limits and Upgrades

You must ensure your use of the Font(s) remains within the limits of the licence purchased, including any applicable:

• number of licensed Desktop users;
• Monthly Unique Visitor (MUV) limit for Website use;
• one (1) user and 50,000 MUV limit applicable to the Desktop + Website Starter Licence; or
• single application title limit applicable to the App Licence.

If your use exceeds the limits of the licence purchased, or if your intended use is not clearly covered by this EULA, you must contact Thistle Type to obtain an appropriate licence or upgrade before continuing that use.

Other licensing arrangements may be available by agreement with Thistle Type for uses not covered by the standard licences. Any additional or bespoke licence terms must be agreed in writing before the relevant use begins.

Purchasing a licence does not grant rights beyond those expressly stated in this EULA.

5. Restrictions

You may not:

• Resell, sublicense, share, or redistribute the Font(s).
• Transfer this licence to another party.
• Modify the Font(s) to create a new font for redistribution.
• Allow the Font(s) to be extracted from your products.
• Use the Font(s) to train, fine-tune, or develop AI models or include them in generative systems without prior written consent from Thistle Type.
• Use the Font(s) in any unlawful or infringing manner.

You may not provide the Font(s) to another person or entity for installation or use unless that person or entity has obtained the appropriate licence from Thistle Type.

6. Backups

You may keep one backup copy of the Font(s) for archival purposes only.

The backup must be stored securely and must not be made accessible through a server, shared system, public storage location, or other means that would allow access by unauthorised persons.

7. Termination

This licence remains in effect unless terminated in accordance with this EULA.

The licence will terminate automatically if you materially breach its terms.

Upon termination, you must immediately stop using the Font(s) and delete all copies of the Font(s) in your possession or control, except where retention is required by law.

Termination does not affect any rights or obligations that arose before termination.

8. Warranty and Liability

The Font(s) are provided “as is”, except to the extent that applicable law provides otherwise.

Thistle Type does not guarantee that the Font(s) will be error-free or suitable for every particular purpose.

To the fullest extent permitted by law, Thistle Type’s total liability arising from or relating to the Font(s) or this EULA shall not exceed the amount paid by you for the Font(s) giving rise to the claim.

To the fullest extent permitted by law, Thistle Type shall not be liable for indirect, incidental, special, or consequential loss.

Nothing in this EULA excludes or limits liability that cannot lawfully be excluded or limited, or affects any statutory rights you may have as a consumer.

9. Consumer Rights 

If you are a consumer, nothing in this EULA affects your statutory rights.

You are entitled to digital content that is as described, of satisfactory quality, and fit for purpose, subject to applicable law.

Where permitted by applicable law, if you purchase digital content and consent to its immediate supply before the end of the applicable cancellation period, you may lose your statutory right to cancel once supply of the digital content has begun.

Nothing in this EULA limits any rights or remedies that cannot legally be excluded or restricted.

10. Refunds and Replacements

If you believe the Font(s) are defective, please contact support@thistletype.com within 14 days of discovering the issue. Where appropriate, Thistle Type will provide a replacement or another appropriate remedy.

Nothing in this section limits any statutory rights or remedies available to consumers under applicable law.

Where a refund is agreed for a defective product, Thistle Type may require confirmation that use of the Font(s) has ceased and that copies have been deleted, where appropriate.

11. Support and Updates

Free updates are included unless stated otherwise. Support: support@thistletype.com

Thistle Type does not guarantee that updates will be provided indefinitely or that every future update will be compatible with every previous version or use.

12. Attribution

Attribution is not required, but appreciated, for example: “Font by Thistle Type”.

13. Entire Agreement

This EULA constitutes the entire agreement between you and Thistle Type concerning your use of the Font(s) and supersedes any previous agreement or understanding relating to that use, unless otherwise agreed in writing.

If any provision of this EULA is found to be invalid or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable, where permitted by law. The remaining provisions shall continue in full force and effect.

Any variation to this EULA must be agreed in writing by Thistle Type.

14. Governing Law

This EULA is governed by the laws of Scotland.

If you are a consumer, you may also have the benefit of mandatory consumer protection laws applicable in the country in which you live. Nothing in this EULA prevents you from relying on any such rights.

By purchasing, downloading, installing, or using the Font(s), you confirm that you have read and agree to this EULA.

By installing or using the Font(s), you confirm that you have read and agree to this agreement.
